You are invited to attend The Annual Meeting of the Members of Millennium Film Workshop on Monday December 14, 2014 at 6:30 pm. It will be held in Manhattan at THE GATEWAY, 2098 Frederick Douglass Blvd, New York, NY 10026
Frederick Douglass Blvd is also known as 8th Avenue above 110th Street.
The closest trains are the B or C to 110 or 116th Streets.
The M10 bus stops right in front of the building, which is between 113th & 114th Streets
The business of the meeting will include the following:
1) Delivery of the Annual Financial Statement
2) Adoption of the Amended & Restated Bylaws
3) Election of the Board of Trustees
Members are invited to meet some of the board candidates at a RECEPTION before the meeting, 6:00 to 6:30 pm.
We sincerely hope that you will attend the Annual Meeting. As most of you know, it has been a difficult last five years for the Millennium Film Workshop. There have been internal mistakes, but also external influences that have led us to where we are now. However, if we want to save this precious 50-year-old organization, we need to move on and look towards the future.
In October of this year, the present Board of the Millennium Film Workshop decided to suspend all programs for six to twelve months (except the Millennium Film Journal, which continues publication). This time will enable us to reserve our remaining resources while we develop and implement a Strategic Plan. We have enlisted the help of Amanda Christie, an experienced media arts center administrator, to help in the process, which we feel is a time to reflect, rethink, regroup and retool. At the end of this period we will launch a well funded and equipped new Millennium to better serve cinema artists.
We also need your help as members. It is imperative that we elect a new Board of Trustees and also ratify our updated Bylaws, which have been amended to meet governmental requirements, but also reflect our desire to be a transparent and well- functioning non-profit organization.
Below you will find more specific information related to the business of the meeting:
Approval of the Amended & Restated Bylaws is critical to Millennium’s
renewal. State, city, and private funders expect our bylaws to foster financial stability, and operational transparency and accountability. The new Bylaws will meet current state operating requirements, so that we can apply for state and city grants, and will demonstrate to all funders that the rebuilt MFW will be a viable non-profit with sound governance. The new Bylaws will help us build a Board with diverse support skills and life experience; a Board that can provide effective oversight and support. Finally, the new Bylaws will facilitate representation of member needs and ease the member voting process. It will enable MFW to function more effectively and in a timely fashion. Both the new and old Bylaws may be found at: millenniumfilm.org/bylaws. They were presented and discussed at a Members & Friends Meeting on October 7, 2015.
Election of a new Board of Trustees is also critical to Millennium’s renewal. The new Board will begin to implement our Strategic Plan. It is extremely important that we attain voting requirements to approve our new Bylaws
and elect our new Board of Trustees. Although we do need a quorum of members present, if you cannot come to the meeting, a procedure for voting by secure electronic proxy will be distributed approximately 6 days before the Annual Meeting.
Members who were current with their membership fee by Monday December 7 (seven days before the Annual Meeting) will be eligible to vote. Membership is $30 per year. Higher levels of support are rewarded with packages of free Millennium Film Journal subscriptions and admission to future screenings. All memberships expiring or renewing during the current “Period of Strategic Reflection and Restructuring” program suspension, or new memberships initiated during this period, will be extended by the number of months of the period’s duration.
